Skills to Succeed Academy Terms of Use

1) About us:

The Skills to Succeed Academy is an online employability learning solution managed and run by Accenture (South Africa) (Proprietary) Limited, a company registered in South Africa, company registration number 2001/007340/07 with its registered office at 19 Harrowdene Office Park, Kelvin Drive, Woodmead, Johannesburg South Africa.

The purpose of the Skills to Succeed Academy is to provide online and off-line learning content and off-line exercises to support job seekers and their employment advisors / job coaches in South Africa.

The content is relevant to all ages, but it is designed to appeal to 15-24 year olds.

The content in the Skills to Succeed Academy is an amalgamation of information gathered from various sources, including third party organisations, which is made available to you free of charge.

2) Terms of Use:

These terms of use (the "Terms of Use") (together with our Privacy Policy) apply to your use of and access to, whether online or off-line, the Skills to Succeed Academy website and/or mobile application and/or any and all related information, services and devices (the "Academy").

By clicking the "I have read and accepted the Skills to Succeed Academy Terms of Use and Privacy Policy" box before your first use and by continuing to use the Academy, you hereby agree to these Terms of Use, which will apply to each and every use of the Academy by you. Accordingly, please read these Terms of Use carefully before using the Academy.

If you agree to these Terms of Use, please click the "I have read and accepted the Skills to Succeed Academy Terms of Use and Privacy Policy" box to confirm your agreement.

If you do not agree to these Terms of Use, you will be directed away from the Academy and will not have access to the Academy in any manner.

The Academy may only be used by you if (i) you are a job seeker or prospective job seeker who has been granted an access code or has otherwise been authorised to use the Academy or (ii) you are an employee, volunteer, contractor or subcontractor for an organization that has been licensed to use the Academy by the Provider ("Licensee"). No other use of the Academy is permitted.

3) Intellectual Property:

Subject to these Terms of Use, you are authorised, on a non-exclusive, non-transferable basis, to use the Academy solely for your internal, personal, non-commercial purposes of learning and private study to support job seeking activities.

Except as expressly provided for in these Terms of Use, you acquire no rights in or to the Academy. Unless otherwise stated, the contents of the Academy (including any text and images and their arrangement) are owned by or licensed to the Provider. All trademarks used or referred to in the Academy are the property of their respective owners.

4) Your obligations and our relationship:

The following are your obligations and responsibilities:

You must ensure that you have the legal right to work in South Africa.

You must comply with all applicable laws and regulatory requirements (including without limitation, privacy laws, intellectual property laws, tax laws).

It is your responsibility to protect your personal information (e.g. email address, postal address, phone numbers, passwords or other confidential information).

You are responsible for all activities initiated and performed by you on the Academy or based on information obtained from the Academy.

You will use the Academy in a professional manner for the purpose for which it is provided.

You will not (i) licence, sub-license, publish, broadcast, distribute, use, copy, modify, create derivative works, sell or otherwise transfer any information or material found on the Academy, or any device provided to you in connection with the Academy, save as expressly permitted by the Provider or (ii) adapt, modify or create derivative works of the Academy or reverse-engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code or underlying intellectual property used to provide the Academy or seek to access the Academy by means other than those stipulated by the Provider (iii) remove any copyright, trademark or other proprietary rights notices contained in or on the Academy, including those of the Provider or any of its licensors and (iv) disrupt or interfere with the Academy.

You may download, display, and print one copy of the Academy materials on any single computer solely for your personal, non-commercial use for learning or study in support of job seeking activities, provided that you do not modify the material in any way (save as expressly permitted) and you keep intact all copyright, trademark, and other proprietary notices.

You must review and comply with these Terms of Use, together with any subsequent notices issued by the Provider.

You must not post or distribute any material that is illegal, defamatory, obscene, threatening, or that violates third party rights. The Provider may remove from the Academy any material that it regards to be inappropriate. The Provider reserves the right to report inappropriate posts, materials and usage to your licensee organization.

If you have been granted access to the Academy as an employee, volunteer or contractor for a Licensee, you confirm that (i) you shall only use the Academy for the purpose of support of job seekers for the Licensee and (ii) you must immediately cease to use the Academy when your contract or relationship with the Licensee comes to an end and return any device provided to you in connection with the Academy.

The information provided on the Academy is free of charge and for informational purposes only and does not create a business or professional services relationship between you and the Provider. Nothing available via the Academy constitutes or shall be taken as career or professional advice (whether technical, financial, legal or otherwise). You are solely responsible for all career or other decisions made based on such information.

The Academy provides services, and uses software and technology that are potentially subject to local South African export control and economic sanctions laws and regulations, including the laws and regulations of the EU, the UK and the US in that respect. In order to ensure that the Academy is provided and used in a manner that complies with such laws and regulations, you commit to use the services, software and technologies only as required by the scheduled training, and to refrain from using these services, software and technologies for any other purpose, or diverting, transferring or exporting same for the benefit of any third party, or to any destination. By accessing the Academy, you certify that you are not currently located in Cuba, Iran, Syria, Sudan or North Korea and that you do not appear on a restricted party list by the Republic of South Africa, the EU, the UK, the US government and/or any other restricted list similar in nature to the aforementioned.

5) Change to Academy:

The Provider may, in its sole discretion and without liability to you or any third party modify, refine and/or change the specifications, features and/or functionality of the Academy or withdraw or discontinue the availability of the Academy, in whole or in part, at any time.

6) Liability and Warranty:

THE ACADEMY IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS FOR INFORMATION PURPOSES ONLY. THE PROVIDER MAKES NO WARRANTIES OR REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, AND, TO THE FULLEST EXTENT PERMITTED BY LAW, HEREBY EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES AND REPRESENTATIONS WITH RESPECT TO THE ACADEMY (AND THE CONTENT AVAILABLE THEREIN AND ANY DEVICE PROVIDED IN RELATION THERETO) INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, INFORMATIONAL CONTENT, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PROVIDER OR ITS LICENSOR BE LIABLE (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY OR OTHERWISE) TO YOU OR ANY OTHER PARTY FOR ANY LOSS OR DAMAGE, LOST PROFITS, LOSS OF REVENUE OR BUSINESS, LOSS OF USE, LOSS OF DATA, LOSS OF EARNINGS, LOSS OF OPPORTUNITY LOSS OR DAMAGE TO GOODWILL OR REPUTATION (WHETHER DIRECT OR INDIRECT) OR FOR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR SPECIAL DAMAGES, ARISING IN ANY WAY OUT OF YOUR USE OF THE ACADEMY OR IN CONNECTION WITH THESE OR ANY OTHER TERMS OF USE, WHETHER OR NOT SUCH PARTY HAD ADVANCE NOTICE OF THE POSSIBILITY OF SUCH DAMAGES.

The Provider is not responsible or liable for any of your acts, omissions, products or services of any user (including for any content generated by you) or third party, including any third party referred to on the Academy or any individual delivering training or providing advice using the Academy. Links provided by the Academy may lead to services or sites not operated by the Provider. No judgment, warranty or endorsement is made with respect to such other services or sites and the Provider takes no responsibility for such other sites or services. Any use you make of the information provided on the Academy is at your own risk.

7) Governing Law:

These Terms of Use shall be governed by and construed in accordance with South African law and any dispute arising in connection with it is subject to the exclusive jurisdiction of the South African courts.
